This agreement governs the professional digital marketing services to be provided by Lush Digital Agency to Dr. Adam Anz, covering SEO, AI Engine Optimisation, lead capture infrastructure, CRM integration, and ongoing digital growth strategy.

Term & Continuation
Initial Term
This Agreement shall commence on April 1, 2026 and shall remain in full force and effect through January 1, 2027 (the "Initial Term"), unless earlier terminated in accordance with the provisions herein. Content development and service delivery will begin upon execution of this agreement.
Month-to-Month Continuation
Following the expiration of the Initial Term, this Agreement shall automatically continue on a month-to-month basis under the same terms, conditions, and pricing, unless either party provides written notice of intent to renegotiate, renew under revised terms, or terminate no fewer than thirty (30) days prior to the end of any monthly period. Either party may initiate renegotiation of terms at the conclusion of the Initial Term.
Governing Law
This Agreement shall be governed by the laws of the State of Florida. The parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Orange County, Florida, as the presiding county for any disputes arising under or related to this Agreement.

Scope of Services — Package 02: Full Digital Dominance
Search Engine Optimisation (SEO) & SERP Performance
Your website is the foundation of your digital presence — and for Dr. Adam Anz and ANZ Orthopedics, it is one of the most important ways to communicate your expertise, services, and availability to patients in the community. It is a space where your message can be shared without distraction, distortion, or third-party interference.
As part of our SEO services, Lush Digital will work to improve your visibility in local and relevant search results, making it easier for prospective patients to discover your practice. Our strategy begins with a comprehensive audit and implements proven tactics that build long-term momentum.
Search engine optimisation and SERP performance services shall include, but are not limited to:
- ·Meta Descriptions — compelling summaries that improve click-through rates from search results
- ·Schema Markup — structured code that helps search engines better understand and display your content
- ·On-Page Audits — evaluating and optimising each page's content and structure
- ·Technical Audits — improving load speed, mobile-friendliness, and overall website health
- ·Local Listings — ensuring your information is accurate and consistent across online directories
- ·Reporting Dashboard — a live view into traffic, rankings, and growth metrics
- ·Geo & Service Pages — targeted pages designed to improve visibility in specific areas and for specific procedures
- ·Title Tags — optimised page titles that boost search relevance
- ·Internal Linking — strategic page-to-page connections that improve navigation and SEO authority
- ·Google Analytics — tracking user behaviour to inform ongoing improvements
- ·Backlink Audits — analysing your current link profile to eliminate harmful links
- ·Link Building — gaining high-quality links that improve site credibility and authority
- ·Data Aggregators — submitting your practice's information to key data providers for wider visibility
- ·Content Distribution — sharing content through appropriate articles and your blog to extend reach
- ·Keyword Research — identifying the terms and questions patients are searching for and optimising accordingly
- ·Publication Uploads — 5–6 per month, ensuring all authored research works are published across the term
- ·AI Engine Optimisation (AEO) — FAQ content and schema for AI Overviews, ChatGPT, and Perplexity
- ·Google Business Profile optimisation with monthly updates
Search engine optimisation is a long-term investment — but one that continues to pay off month after month. As visibility and rankings grow, so does the practice's ability to reach and serve more patients in the community.
Full Digital Dominance Additions (Package 02 Exclusive)
In addition to all services included in the SEO/AEO Foundation, Lush Digital shall provide the following advanced services exclusively under Package 02:
- ·HIPAA-compliant lead capture form built into the Client's website
- ·Enterprise CRM integration — automated SMS + email follow-up sequences
- ·Instant lead notification + patient nurture workflow (converts inquiries to appointments)
- ·Medical directory submissions: Healthgrades, Doximity, WebMD, and Vitals
- ·Monthly strategy call (1 hour) + competitive landscape refresh
- ·FREE website reskin upon completion of 12-month commitment

Fees & Payment Schedule
Monthly Investment
The fee schedule for this Agreement begins with an investment of $4,500.00 charged upon signing of this Agreement, after which $4,500.00 will be charged recurring on the 1st of every month, beginning May 1, 2026, continuing through the Initial Term. The total amount charged during the Initial Term of this Agreement will not exceed $40,500.00.
Third-Party Costs
The fees outlined above do not include third-party spends, advertising investment, or ad spend. These are third-party fees charged by their respective providers (Meta, Google, etc.). This Agreement does not include ad management or advertising consulting services unless separately contracted. Lush Digital recommends consistent advertising investment for all healthcare businesses.
Payment Terms
Invoices are due upon receipt. Lush Digital reserves the right to suspend services if payment is not received within fifteen (15) days of the invoice date. Suspension of services due to non-payment will not terminate this Agreement or the Client's obligation to pay outstanding balances.

Delivery of Assets, Information & Feedback
Client Responsibilities
During the course of this Agreement, Client may be required to deliver assets, information, and feedback in order for Lush Digital to complete deliverables and services described herein. If these assets, information, and feedback are not received in a timely manner, Lush Digital may need to delay deliverables, suspend services, or pause development until the requested materials are provided by Client. Suspension of services due to insufficient or missing feedback, assets, or information will not terminate fees, suspend the payment schedule, or suspend this Agreement.
Point of Contact
Client shall designate one (1) primary point of contact who will be available for all reviews, approvals, and communications related to services under this Agreement. All feedback and approvals must be routed through the designated point of contact.

Revisions, Edits & Changes
Creative Revisions
Lush Digital will develop up to, but no more than, one (1) mock for creative deliverables. These mocks will be final in nature. Lush Digital will perform up to, but no more than, three (3) rounds of changes to copy, imagery, or content per deliverable cycle. Additional revisions beyond this scope may incur additional fees at Lush Digital's standard hourly rate.
Revision During Execution
Additional fees may be incurred if changes are made to the agreed-upon project scope and objectives after execution of this Agreement. Any scope changes must be authorised in writing via a change order or addendum signed by both parties.

Force Majeure & Creative Delays
Force Majeure
Lush Digital shall not be liable for any failure to perform its obligations under this Agreement if such failure arises, directly or indirectly, out of any acts of God, acts of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labour problems, computer, telecommunications, Internet service provider or hosting facility failures or delays involving hardware, software or power systems, denial of service attacks, incompatibility of Client's equipment or software with Lush Digital's equipment or software, acts or omissions of vendors or suppliers, or transportation and telecommunications difficulties. Lush Digital shall not be liable for any failure to perform its obligations under this Agreement due to sickness or hospitalisation of the Client or Lush Digital's staff, officers, or subcontractors. Reasonable accommodations shall be made by both parties to reach a reasonable amended date of deliverability for any service delayed.
Digital Service Term Extension
For digital services (SEO, AEO, CRM, Social Media Management), any service term delayed or paused due to force majeure will be extended by the same number of days, weeks, or months as the delay. Therefore, if services were intended to begin on the 1st of the month but were delayed until the 5th, five (5) days of service shall be added to the end of the final month of the service term.

Assignment of Project
Subcontractors & Staff
Lush Digital reserves the right to assign subcontractors, partners, and/or Lush Digital employees to this project to ensure the right fit for the job as well as on-time completion. All subcontractors engaged by Lush Digital are bound by confidentiality obligations consistent with this Agreement.

Legal & Limitation of Liability
Warranty
Lush Digital warrants that the services and functionality delivered under this Agreement will meet Client's stated requirements and that deliverables will be reasonably error-free. The entire risk as to the quality and performance of digital services rests with the Client's market conditions and patient behaviour, which are outside Lush Digital's control.
Limitation of Liability
In no event will Lush Digital be liable to Client or any third party for any damages, including any lost profits, lost savings, or other incidental, consequential, or special damages arising out of the operation of or inability to operate the services, even if Lush Digital has been advised of the possibility of such damages. Revenue projections provided in any proposal or audit are forward-looking estimates based on industry benchmarks and are not a guarantee of future results.
Severability
If any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions.

Copyrights & Intellectual Property
Client-Furnished Materials
Client represents to Lush Digital and unconditionally guarantees that any elements furnished to Lush Digital for inclusion in deliverables are owned by Client, or that Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Lush Digital and its subcontractors from any claim or suit arising from the use of such elements furnished by Client.
Ownership of Deliverables
Upon full payment of all fees due under this Agreement, all creative assets, content, and code developed specifically for Client under this Agreement shall become the sole property of Client. Lush Digital retains the right to display deliverables as examples of its work in its portfolio and website, and may use all metrics including growth, conversions, and other performance data for case studies.

Refund Policy
Cancellation & Refunds
If Client halts work and applies for a refund within four (4) days of signing of this Agreement, work completed shall be billed at the hourly rate of $200.00, and deducted from the initial payment, the balance of which shall be returned to Client. If, at the time of the refund request, work has been completed beyond the amount covered by the initial payment, Client shall be liable to pay for all work completed at the hourly rate stated above. No portion of any monthly payment will be refunded unless requested within four (4) days of the signing of this Agreement.

Cross-Default & Dispute Resolution
Prevailing Party
In the event that any suit or action is instituted under or in relation to this Agreement, including without limitation to enforce any provision herein, the prevailing party in such dispute shall be entitled to recover from the losing party all fees, costs, and expenses of enforcing any right, including without limitation reasonable fees and expenses of attorneys and accountants, which shall include all fees, costs, and expenses of appeals.

Sole Agreement
Entire Agreement
This Agreement constitutes the sole and entire agreement between Lush Digital and Client regarding the services contained herein and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any additional work not specifically described in this Agreement must be authorised by a written change order, contract, or addendum and additional invoicing signed by both parties.
Agreement Expiration
This Agreement and its terms, conditions, pricing, and language are proposed for consideration and signing on or before April 15, 2026. This Agreement is set to expire and will be nullified if not signed and ratified by both parties by that date, after which a new agreement, pricing, and service package will be necessary.
